Please read these Terms of Service (“Terms”) carefully before using the Xeofi.com website and CRM service (the “Service”) operated by Neesites (“us”, “we”, or “our”).

Xeofi.com is a Software as a Service (SaaS) CRM platform designed for managing client services on MikroTik routers. The Service provides:

  • Automated provisioning of internet services.
  • Management of client connections and disconnections.
  • Automated billing and invoicing.
  • Automated SMS communications.
  • Client management tools.

3. Service Regions

The service is designed for use globally in regions that accept or are compatible with integration partners listed on our home page at (https://xeofi.com). Users without use or access to such integrations may experience limited functionality or payment options.

4. Hosting Options

4.1 Self-Hosting Option

  • Client maintains full control over their system and data
  • We store only basic company information for account management
  • Client is responsible for their own data security and backup
  • Minimum system requirements:
    • 8GB RAM
    • 8 Core CPU
    • 50GB Storage
  • System requirements may increase based on the number of client services managed on MikroTik
  • Client is responsible for ensuring their infrastructure meets or exceeds these requirements

4.2 Partial Hosting Option

  • Client provides their own database
  • We host the system infrastructure
  • We store only company information
  • Client maintains responsibility for database security

4.3 Full Hosting Option

  • We provide complete hosting services
  • Data is secured and not shared with third parties
  • We maintain system security and backups
  • For data collection, processing and storage please refer to our privacy policy

5. Payment Terms

5.1 Payment Methods

  • We accept paypal, direct bank transfer and m-pesa
  • Additional payment methods may be added in the future
  • Transactions may be processed in USD or KES

5.2 Billing

  • Billing is conducted on a monthly basis
  • Fees are non-refundable unless otherwise stated
  • Prices are subject to change with notice

6. User Obligations

You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations
  • Use the Service only for legitimate business purposes
  • Not attempt to circumvent any security measures

7. Service Availability and Support

  • We strive for 99.9% uptime for hosted services
  • Technical support is available 24/7 with a 1-hour SLA response time
  • Maintenance windows will be communicated in advance
  • Emergency support procedures are in place

8. Intellectual Property

  • The Service and its original content are protected by copyright
  • Clients retain ownership of their data
  • We grant a limited license to use our software

9. Termination

We may terminate or suspend access to our Service immediately, without prior notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Illegal or unauthorized use
  • System abuse

10. Limitation of Liability

To the maximum extent permitted by law:

10.1 Direct Damages

  • Our total liability is strictly limited to refunding the amount paid for the current month’s service only, and only if the service was paid for
  • No liability will be accepted for unpaid services
  • Refunds are at our sole discretion and must be claimed within the affected month

10.2 Indirect Damages

We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business opportunities
  • Business interruption
  • Loss of anticipated savings
  • Loss of goodwill or reputation
  • Loss or corruption of data
  • Cost of replacement services
  • Network or system downtime costs
  • Client compensation costs
  • Any damages resulting from service interruptions
  • Any damages from data breaches affecting your clients

10.3 Third-Party Services

We are not responsible for:

  • MikroTik router performance or failures
  • Payment gateway service interruptions
  • Internet service provider issues
  • Hosting provider incidents
  • Any other third-party service failures

10.4 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Power failures
  • Network attacks
  • Government actions
  • Civil unrest

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via:

  • Email notification
  • Service announcement
  • Website notice

12. Governing Law

These Terms shall be governed by the laws of Kenya, without regard to its conflict of law provisions.
